1. About These Terms of Use 

https://eydpt.bham.ac.uk/ is a website owned and operated by the University of Birmingham, a University incorporated by Royal Charter under number RC000645 whose administrative offices are at Edgbaston, Birmingham, B15 2TT, UK (“we”, “us”, “our”).  

These terms govern your use of our Early Action Compass online tool (the “Tool”). By using the Tool (including registering and creating an account or making payment), you agree to these terms of use. If you do not agree to these terms, you must not use our site.  

You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms of use and other applicable terms of use, and that they comply with them. 

2. Permitted Use 

You may use the Tool for your internal business or research purposes (or as otherwise agreed with us). 

You must not use the Tool: 

  • in breach of any law; 
  • to infringe third party rights; 
  • to introduce malware or seek unauthorised access;  
  • to modify any materials you have downloaded or printed; or  
  • to attempt to copy or recreate the Tool’s underlying code. 

We may suspend access if we reasonably believe your use poses a legal, technical, or security risk. 

3. Fees and Online Payment 

3.1 Fees 

Access to the Tool requires payment of the fees displayed on our website or otherwise agreed with you. 

All fees are exclusive of VAT unless stated otherwise. 

3.2 Payment Process 

Payments must be made online through our approved payment provider(s). 

When you provide payment information, you confirm it is accurate, you are authorised to use the payment method, and you agree to the provider’s separate terms and privacy practices. 

We do not store full card details. All payment processing is handled securely by the payment provider in accordance with their terms and conditions

3.3 User Accounts 

Access to the Tool will be activated once payment has been successfully completed.  

To access the Tool, you may be required to set up an account. You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to register.  You agree to provide accurate and complete information about yourself as prompted by the registration form and agree to maintain and update this information as required.  

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party. 

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use. 

If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at earlyaction@contacts.bham.ac.uk 

3.4 Failed or Reversed Payments 

If a payment fails, is revoked, or is charged back, we may suspend your access until all outstanding sums are cleared. 

You remain responsible for settling any fees due to us. 

3.5 Refunds 

Refunds are only provided where required by law or expressly stated in the payment providers our refund policy. 

4. User Content 

Whenever you make use of a feature that allows you to create content directly to the Tool (“User Content”) you must comply with these terms of use. 

You warrant that any such contribution complies with those standards, and you are liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty. 

If you upload or input User Content on the Tool:  

  • You retain ownership of your User Content, but we will consider the User Content to be non-confidential and not protected by any trade mark, patent or copyright (non-proprietary), that is in the “public domain”. 
  • You grant us a limited licence to host, process, and use your User Content as necessary to operate, maintain, and improve the Tool . 
  • You grant us a non-exclusive, perpetual, royalty-free, and worldwide license to use, modify, display, and distribute your User Content and for academic research and publication purposes. 
  • You confirm that you own or have the right to use the User Content and that use of it on our platform does not breach any laws or infringe any rights of third parties. 

We also have the right to disclose your identity to anyone who is claiming that the User Content you have posted or uploaded to the Tool violates their intellectual property rights or their right to privacy. 

We have the right to remove your User Content, if in our opinion, it does not comply with these terms of use or applicable laws.  

5. Intellectual Property  

5.1 Ownership 

All materials provided through the Tool including text, graphics, design, layout, software, data, trademarks, and logos (the “Content”) are owned by us or our licensors. All such rights are reserved.  

The Content is protected by copyright, trade mark law, database rights, and other intellectual property rights. 

5.2 Your Licence to Use Platform Content 

You may view and access the Content for your legitimate use of the tool. 

You may print off one copy, and may download extracts, of any page(s) from the Tool for your personal use and you may draw the attention of others within your organisation to the Content. 

You must not use the Content for commercial purposes without obtaining a licence to do so from us or our licensors.  

Our status (and that of any identified contributors) as the authors of the Content must always be acknowledged (except where the content is user-generated).  

5.3 Restrictions 

Unless agreed by us or permitted by law, you must not: 

  • reproduce, republish, distribute, or commercially exploit any part of the Tool; 
  • use logos or branding in a way that suggests endorsement; 
  • remove proprietary notices; 
  • scrape, harvest, or systematically extract data for any purpose, including but not limited to the development, training, fine-tuning or validation of AI systems or models; 
  • reverse‑engineer or develop competing tools using our content or software. 

5.4 No Transfer of Rights 

Nothing in these terms transfers ownership of any intellectual property to you. You receive only the limited rights of use set out above. 

6. Third Party Content 

Where the Tool contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. 

We have no control over the contents of those sites or resources. 

7. How we may use your personal information 

We will process any personal data in line with our Privacy Notice..  

The Tool and our third party service providers may use cookies and other related technology (“Cookies”).  Our use of Cookies shall be in accordance with our Cookie Policy.    

8. Availability and Changes 

The Tool is provided on an “as is” basis.  We do not guarantee that the Tool or the Content, will always be available or be uninterrupted.  

We may update, modify, suspend, withdraw or restrict the availability of all or any part of the Tool for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal. 

9. Liability 

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law. 

Otherwise, to the extent permitted by English law, we are not liable for: 

  • loss of profits or revenue; 
  • loss of data; 
  • indirect, special, or consequential losses; 
  • reliance on information produced by the Tool. 

Our total aggregate liability to you is limited at all times and in all circumstances to the total fees paid by you for the use of the Tool and shall not exceed [£50]

Nothing in these Terms of Use limits our liability to you for death or personal injury resulting from negligence, fraud or fraudulent misrepresentation or liability which cannot be legally excluded.  

All warranties, representations, conditions and all other terms of any kind whatsoever implied by statute or common law are, to the fullest extent permitted by appliable law, excluded from these terms of use.   

10. Your Indemnity 

You agree to indemnify us against claims, losses and costs arising from: 

  • your breach of these terms; 
  • your use or misuse of the Tool; or 
  • infringement of third party rights caused by you or any content you upload to the Tool. 

11. Termination 

  • You may stop using the Tool at any time. 
  • We may suspend or terminate your access if you breach these terms, fail to pay, or create legal/security risks. 
  • Sections relating to IP ownership, fees, liability and indemnity survive termination. 

12. Changes to These Terms 

We may update these terms occasionally. Significant changes will be notified on the website. Continued use of the Tool after changes means you accept the updated terms. 

13. Transfer of this Agreement 

We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract. 

14. Governing Law 

These Terms of Use and any contractual or non-contractual disputes arising from or in relation to it are governed by the laws of England. The courts of England have exclusive jurisdiction over any disputes arising under this Agreement, except that a Party may seek interim relief from any court of competent jurisdiction.
